Innovation, a division of Armscor SOC Ltd, was founded on 1 March 2014 within the Research and Development Department. Its mandate is derived from the Armscor Act 51 2003 and includes the following:
- to exploit commercial opportunities as may arise out of Armscor’s duty to acquire defence materiel or manage technology projects, subject to the approval of the Minister of Defence;
- to manage and utilise Intellectual Property (IP) rights acquired for and on behalf of the Department of Defence (DOD) as directed by the Secretary for Defence in a service level agreement;
- to hold, in custody, all IP rights in any product service, item, method or any other thing of any nature vested in the DOD on behalf of the DOD.
In support of Armscor’s vision and mission, the Innovation division intends to:
- be a leader in IP management including IP exploitation for the benefit of Armscor, the DOD and the Republic of South Africa; and
- enable Armscor to professionally manage its IP and provide a professional IP management service to the DOD. This includes maximisation of exploitation of IP to the benefit of Armscor and the DOD through initiating or facilitating contract research, collaboration research and technology transfer efforts with the defence industry and research institutes.
The function of Innovation division is to ensure that IP acquired by or created by Armscor is managed effectively and efficiently. This will be done through discharging the following services, which will be inclusive, accessible, culturally sensitive, pro-active and responsive:
IP MANAGEMENT
This function includes implementation of policy, identification, verification, assessment, recording and protection of IP. This function further includes conducting IP audits and due diligence investigations, providing IP opinions in respect of any technology with or without commercial potential, contributing to the valuation of IP and ensuring proper IP protection. Where IP has been capitalised into an Intangible Capital Asset (ICA), Armscor shall account to the DOD in order to enable the DOD to account to National Treasury on behalf of DOD.
IP EXPLOITATION
This function includes IP business development, commercialisation of IP (assess commercial opportunities, conduct market research and analysis, financial evaluation and create business case) and technology transfer. The function includes seeking potential commercialisation partners and exploring various commercialisation models in line with a commercialisation strategy, Armscor’s and/or the DOD’s requirements, as well as IP protection during technology development co-operation efforts not primarily aimed at commercialisation but with the intention to grow and strengthen Armscor R&D’s knowledge base in strategic technology areas in support of the DOD.
CONTRACTUAL MANAGEMENT OF IP
This function includes drafting and management of IP-related contracts ensuring the protection of DOD / Armscor’s interest in relation to IP, and vetting of IP-related agreements in general contracts referred to the Innovation division by Legal Services and other departments/divisions. This includes ensuring fulfilment of obligations which are set against parties in relation to Armscor’s IP management and accounting for royalty receipts.
